Item 7.01 Regulation FD Disclosure.

On December 2, 2024, Bread Financial Holdings, Inc. (the “Company”) issued a press release announcing that its board of directors has approved a $25 million increase to its previously-announced 2024 share repurchase program, expanding the authorization from $30 million of the Company’s common stock to $55 million of common stock through December 31, 2024. A copy of this press release is attached hereto as Exhibit 99.1.

Bread Financial Announces $25 Million Increase to 2024 Share Repurchase Program


COLUMBUS, Ohio – December 2, 2024 – Bread Financial® Holdings, Inc. (NYSE: BFH), a tech-forward financial services company that provides simple, personalized payment, lending and saving solutions, today announced that its Board of Directors has approved a $25 million increase to its previously-announced 2024 share repurchase program, expanding the authorization from $30 million of common stock to $55 million of common stock through December 31, 2024. The Company had approximately $19 million remaining under its prior share repurchase program as of the date of this release; this increase will bring the total amount of share repurchase authorization to approximately $44 million through December 31, 2024.

As part of Bread Financial’s continued commitment to its stated capital priorities, the amended share repurchase program is designed to offset the impact of dilution associated with issuances of employee restricted stock units.

The board’s authorization permits the Company to make open market share repurchases from time-to-time through December 31, 2024 in compliance with SEC Rule 10b-18 and subject to market conditions and other factors, including legal and regulatory restrictions and required approvals, up to the aggregate amount authorized by the Board. The repurchase program does not obligate the Company to acquire any specific number of shares and may be suspended or terminated at any time.
